NEXORA — Risk Disclosure

Document Version: v1.1

1. Important Risk Warning

NEXORA is specified as a decentralized, blockchain-based protocol involving digital assets, order and queue rules, and NEXORA TOKEN allocation eligibility. The current application is a Preview / Development build; the project materials available for this release do not verify a production contract deployment or live blockchain operations.

The Platform involves digital assets, smart contracts, on-chain transactions, automatic repurchases, referral rewards, TOKEN airdrops, and digital asset swaps.

Participation in NEXORA may result in the loss of all funds committed.

You should participate only after understanding this Disclosure, the relevant smart contract rules, and your own risk tolerance.

This document does not constitute investment, financial, legal, or return advice.

2. Risk of Financial Loss

Purchasing Nexora Coin (NXC) or participating in orders may result in partial or total financial loss. NXC and NEXORA TOKEN (NEX) are separate assets.

The specified 2x reward target for a 10 NXC standard order is 20 NXC, not a guarantee of payment.

Queue rewards are primarily funded by the 90% allocation from subsequent orders.

Consequently:

  • Insufficient new orders may prevent the reward pool from growing.

  • Reduced order activity may significantly delay settlements.

  • If new orders stop, reward distributions may stop.

  • Queued orders may never reach their reward targets.

  • Automatic repurchases may increase the number of unfinished orders.

  • Users may be unable to recover their original contributions.

Reward targets must not be interpreted as fixed income, deposit interest, or guaranteed returns.

3. Sequence Mechanism Risks

The project specification describes a FIFO queue and multiple parallel reward queues; no production queue or settlement is verified for the current application.

Under the specification, available rewards are distributed among eligible queue-head orders. Actual allocation depends on the deployed contract and its verified rules.

Queue performance depends on:

  1. The rate of new order entries.

  2. The number of unfinished orders.

  3. The number of parallel queues.

  4. The reward progress of each queue head.

  5. Available reward pool balances.

  6. Orders created through automatic repurchases.

  7. Referral and maintenance pool allocations.

  8. Blockchain transaction confirmation speeds.

An increase in the number of queues does not necessarily improve reward efficiency.

As the number of parallel queues increases, each new order's distributable reward may need to be shared among more queue heads.

Average completion times may therefore increase significantly. No fixed waiting period or guaranteed completion date exists.

4. Automatic Repurchase Risks

When an order reaches its specified 20 NXC reward target, the specification describes the following allocation:

  • 10 NXC (50% of the target) is allocated to the user's wallet.

  • 10 NXC (50% of the target) is used to purchase a new standard order.

Automatic repurchases may:

  • Continuously create new queued orders.

  • Require additional waiting for future rewards.

  • Fail to generate future rewards.

  • Increase the time funds remain committed.

  • Increase the user's overall financial exposure.

  • Remain unfinished indefinitely.

An automatic repurchase is not realized cash income and is not equivalent to freely withdrawable USDT.

5. Referral Reward Risks

The Platform provides direct referral rewards:

  • Qualifying orders generated by directly referred addresses are subject to a 5% referral allocation if a valid eligible direct referrer exists.

  • Automatic repurchase orders are also subject to referral reward allocation.

Referral rewards depend on actual qualifying orders and contract rules.

They are not guaranteed income.

Referral mechanisms may be subject to direct selling, pyramid selling, pyramid scheme, fundraising, or financial regulatory requirements in different jurisdictions.

Such mechanisms should not be marketed or made available in restricted jurisdictions before appropriate legal review.

6. TOKEN Issuance and Airdrop Risks

The specified total supply of NEXORA TOKEN (NEX) is:

10,000,000,000 NEX.

The specified reference eligibility rule is:

1,000 NEX eligibility units per qualifying standard order.

Qualifying automatic-repurchase orders are included in the specification. A milestone of 100,000,000 NEX distributed triggers evaluation and preparation for possible exchange-listing applications only; it is not an approval or guarantee of listing. Whether a deployed token contract enforces the specified total supply as a maximum cap has not been verified.

You should understand that:

  1. Eligibility does not mean tokens have already been distributed.

  2. No live token or airdrop contract, eligibility state, or distribution is verified for the current application.

  3. If deployed, distribution is subject to actual contract rules and available supply.

  4. NEX may have no public trading market.

  5. NEX may have insufficient market liquidity.

  6. NEX may never be listed on an exchange.

  7. NEX may lose most or all of its market value.

  8. NEX may be restricted by applicable law.

  9. NEX may not be transferable or exchangeable.

  10. Actual utility depends on its real functionality and related contracts.

Reaching the specified 100,000,000 NEX distributed milestone only allows subsequent market evaluation and preparation for possible exchange-listing applications to begin. It does not mean an exchange has approved a listing.

No individual or organization should represent a proposed listing as a guaranteed outcome.

7. Nexora Coin and USDT Exchange Risks

The project specification uses 1 NXC = 1 USDT as a target reference denomination for order pricing. NXC is distinct from NEX.

This ratio should not be interpreted as a guarantee of fixed-price exchangeability under all circumstances.

Actual swaps depend on:

  • Whether the smart contract supports the swap.

  • Available USDT reserves or liquidity.

  • Market prices of trading pairs.

  • Slippage.

  • Network conditions.

  • Transaction fees.

  • Availability of third-party protocols.

Without sufficient reserves or genuine available liquidity, users may be unable to complete swaps.

Users are responsible for GAS and applicable transaction fees.

8. Smart Contract Risks

Core rules are specified for smart-contract execution, but no production contract deployment is verified for the current application. Smart contracts, if deployed, are not absolutely secure.

Potential risks include:

  • Software vulnerabilities.

  • Mathematical calculation errors.

  • Precision and rounding errors.

  • Reentrancy attacks.

  • Incorrect permission configurations.

  • Token compatibility issues.

  • Transaction ordering manipulation.

  • MEV front-running and sandwich attacks.

  • GAS exhaustion.

  • Failed contract interactions.

  • Unknown security vulnerabilities.

Independent security audits, mathematical model verification, and boundary-condition testing should be completed before deployment.

An audit does not eliminate all risks.

9. Upgrade, Immutability, and Permission Risks

No verified deployment, proxy architecture, upgrade authority, administrator permissions, emergency controls, or permission holders are documented for the current release. Users should not assume that any contract is immutable, non-upgradable, or free of administrative control.

If an immutable or non-upgradable contract is deployed, this may limit later changes, but also means:

  • Deployment errors may be permanent.

  • Incorrect parameters may remain permanently active.

  • Business rules may not adapt to regulatory changes.

  • Vulnerabilities may not be fixable through conventional upgrades.

  • Emergency pause or asset recovery mechanisms may be unavailable.

If an upgradeable contract or privileged function is deployed, authorized parties may be able to change behavior, pause functions, or control assets within the scope of those permissions. Either design creates risk. Immutability is not a security guarantee.

10. Blockchain Network Risks

Users may face:

  • Network congestion.

  • Delayed block confirmations.

  • Increased GAS fees.

  • Blockchain forks.

  • Validator failures.

  • Consensus mechanism disruptions.

  • Network outages.

  • Failed on-chain transactions.

  • Third-party RPC interruptions.

  • Wallet, gateway, and hosting-provider outages or access restrictions.

These events may affect frontend access and, if implemented, order submission, reward distribution, NEX claims, and asset swaps. Frontend availability and contract execution are separate; an outage of one does not necessarily stop the other.

11. Wallet and Private Key Risks

Users are solely responsible for wallet security.

If private keys or recovery phrases are compromised, attackers may transfer assets without authorization.

Incorrect transfers, malicious signatures, phishing websites, malicious browser extensions, and fraudulent support accounts may result in irreversible losses.

The current application is not designed to request private keys or recovery phrases. Users must never disclose them to anyone, including a person claiming to provide support.

12. Distributed Storage Risks

The frontend is designed for static distribution, potentially through IPFS, Arweave, or other hosting and gateway services; no such production deployment is verified for the current release. Distributed storage uses content-addressing technologies and has risks including:

  • Long-term public exposure if content is published.

  • Inability to guarantee deletion.

  • Changes in node availability.

  • Failed content retrieval.

  • Gateway interruptions.

  • Access restrictions imposed by third-party nodes.

Distributed storage does not guarantee permanent accessibility or eliminate infrastructure dependencies.

13. Regulatory and Legal Risks

Different jurisdictions impose different legal requirements on digital assets, game currencies, TOKEN issuance, reward distribution, referral programs, trading, and exchanges.

NEXORA's business model may involve:

  • Virtual asset service regulation.

  • Securities and investment product regulation.

  • Payment and electronic money regulation.

  • Fundraising and collective investment regulation.

  • Direct selling and pyramid selling regulation.

  • Anti-money laundering and counter-terrorist financing requirements.

  • Consumer protection and advertising regulation.

  • Tax reporting obligations.

In particular, mechanisms involving rewards funded by subsequent orders, direct or multi-level referral rewards, automatic repurchases, and fixed-multiple reward targets may trigger significant regulatory concerns in certain jurisdictions.

Decentralized smart contracts, static frontend hosting, incomplete public identification of an operating entity, and the use of IPFS or Arweave do not automatically exempt responsible parties or participants from legal responsibilities.

Users should obtain independent legal advice in their jurisdictions.

14. Operating Entity and Accountability Risks

The project materials available for this release do not identify a verified operating entity or responsible contact. This documentation gap does not establish that no responsible parties exist or remove legal responsibilities. Users should consider:

Users should consider:

  • Inability to verify actual controllers or permission holders.

  • Inability to identify an operating entity from the available materials.

  • Uncertainty regarding dispute resolution.

  • Difficulties recovering losses.

  • Inability to verify actual control of maintenance pool funds.

  • Uncertainty regarding legal operating qualifications.

The absence of verified public attribution creates trust, governance, and recourse risks.

15. Economic Model and Sustainability Risks

The project specification's reward distribution depends on qualifying order activity and available contract funds. No live order activity, contract fund flow, or solvency mechanism is verified for the current application.

Each new order is allocated as follows:

  • 5% to direct referral rewards.

  • 5% to the maintenance pool.

  • 90% to the sequence reward pool.

Under the specification, each 10 NXC order is allocated 9 NXC to the sequence reward pool, 0.5 NXC to a valid eligible direct referral (if any), and 0.5 NXC to the maintenance pool. Treatment of an unassigned referral allocation must be determined by the actual contract; it is not established by this document. When new order activity decreases, the funds available for queue rewards may also decrease.

The specified target for each 10 NXC order is 20 NXC; upon settlement, 10 NXC is allocated to the user and 10 NXC is used for an automatic repurchase. This may create additional unfinished orders and future reward obligations.

Automatic repurchases do not create new external capital.

Historical order volume, historical reward distributions, or TOKEN issuance progress cannot establish the future ability to sustain reward payments.

Without sufficient external funding, sustainable economic activity, or a verified solvency mechanism, the system may develop funding shortfalls.

16. No Guaranteed Returns

NEXORA does not guarantee:

  • That every user will receive the specified 20 NXC target for a 10 NXC order.

  • That any order will exit within a specific period.

  • That automatic repurchases will complete.

  • That referral rewards will continue.

  • That TOKEN will be distributed.

  • That TOKEN will be listed.

  • That TOKEN will have market value.

  • That NXC can always be exchanged for USDT at the 1:1 target reference.

  • That users will recover their entire contributions.

Users should only commit funds they can afford to lose entirely.

17. Independent User Decisions

Before participating, users should:

  1. Read the complete Terms of Use.

  2. Read the complete Privacy Policy.

  3. If contracts are deployed, independently verify their addresses, source code, permissions, and actual configuration; no production contract deployment is verified for the current application.

  4. Confirm order amounts and allocation rules.

  5. Understand automatic repurchase mechanisms.

  6. Assess TOKEN utility and liquidity.

  7. Evaluate applicable legal risks.

  8. Independently assess their financial risk tolerance.

Third-party marketing, community discussions, and individual promises do not replace this Risk Disclosure.

18. Operational Support and Maintenance Risks

NEXORA does not guarantee 24/7 human support or monitoring, a staffed customer-service team, a permanent response channel, immediate responses, manual transaction processing, manual order matching or settlement, emergency intervention, dispute resolution, or recovery of failed or irreversible transactions. No permanent development, maintenance, or operations team, continuous security updates, future upgrades, or uninterrupted frontend hosting is promised. The absence of such guarantees does not establish that no one has contributed to the project and does not waive legal duties that cannot lawfully be waived.
